These Terms & Conditions (“Agreement”) govern all services provided by
Braniva (“Agency”). By accessing or engaging with our services, the
Client (“you”) agrees to be bound by this Agreement.
The “Effective Date” is the date you first engage with Braniva or sign a
related service agreement.
1. Scope of Services
Braniva provides brand management, social media, performance marketing, digital advertising,
and consultancy services. Specific deliverables, timelines, and payment terms will be outlined
in individual proposals or agreements mutually signed.
2. Client Obligations
- Clients must provide accurate and complete information for project execution.
- Clients guarantee lawful ownership or licenses for all content and materials shared.
- Clients must cooperate with timely approvals, content submissions, and feedback.
3. Fees & Payment
- Payment models (retainer, milestone, or upfront) will be defined in service agreements.
- All invoices must be settled within the stipulated timeline.
Late payments may attract 1.5% monthly interest or the maximum permitted by law.
- Taxes, including GST, are payable by the client.
4. Intellectual Property
- Full ownership of final creative deliverables is transferred to the client after full payment.
- Braniva retains rights over methodologies, pre-existing tools, and templates.
- Braniva may showcase completed work in portfolios or case studies unless restricted by NDA.
5. Confidentiality
Both parties agree to protect confidential information including business strategies,
financial data, trade secrets, and client lists. Confidentiality obligations
survive after the termination of this Agreement.
6. Limitation of Liability
- Braniva is not liable for indirect, incidental, or consequential damages.
- Liability is capped at the total fees paid by the client under the disputed service.
- No guarantee is made regarding specific outcomes (e.g., revenue growth, conversions).
7. Termination
- Either party may terminate with 30 days’ written notice, subject to clearing pending fees.
- Immediate termination may occur in cases of breach, unethical practices, or illegal activity.
